Version 2026-11-06 — draft to be reviewed by a lawyer before launch. English translation; the French version prevails.

Durandor is operated by Pastor Systems, SASU with a share capital of €500, RCS Draguignan 132 046 830, registered office: 185 boulevard des Remparts, Bâtiment Versailles C, 83300 Draguignan, France (see the Terms of Service, § 1).

1. Purpose

This agreement organises the introduction of new clients to Durandor by a partner company (the "Partner") in return for a commission. It supplements Durandor's Terms of Service, which the Partner also accepts.

2. Partner's status

The Partner is a duly registered company acting as an independent business introducer (apporteur d'affaires). It is not an employee, agent or commercial agent of Durandor: it may not bind Durandor, negotiate or sign on Durandor's behalf, or collect money for it. It organises its activity freely and bears its own costs.

3. Joining

The partner program is by Durandor's invitation only: the Partner joins by accepting Durandor's personal invitation, which accepts this agreement. An agency that joins with a new account gets a partner account, used only to introduce companies (it does not publish projects or deliver them through that account). Durandor may suspend the partnership at any time, in particular in case of breach or suspected fraud, stating its reasons.

4. Introduced client

4.1. A client is introduced when a company new to Durandor creates its company account with the Partner's link or code. A company already on Durandor (same SIREN), a company of which the Partner or one of its members is a member, or a company created without a SIREN cannot be introduced.

4.2. Each client can be linked to one partner only, the first, and this link is final. The introduced client is told who the Partner is.

5. Commission

5.1. When the introduced client signs its first Project Contract on Durandor within 12 months of creating its account, the Partner receives a commission equal to 50% of Durandor's fee, i.e. 5% excluding VAT of each milestone of that contract actually paid to the talent, change orders included.

5.2. No commission is due on amounts refunded to the client, on the same client's later contracts, or after the 12-month period. If a milestone is split after a dispute, the commission applies to the share actually paid.

5.3. The Partner may introduce as many clients as it wishes: each new client gives rise to a commission on its first contract.

5.4. Commissions are totalled each month. Early the following month, they are paid by bank transfer, through Durandor's payment provider, to the account the Partner opened with it from its partner page. They are exclusive of tax; VAT is added if the Partner is registered for it, according to the invoicing details it gives.

5.5. Self-billing. The Partner gives Durandor, which accepts it, a mandate to draw up the invoices for its commissions in the Partner's name and on its behalf (self-billing, art. 289, I-2 of the French tax code). Each month, one invoice lists the period's commissions; it bears the mention "Autofacturation" (self-billing), is numbered in a series of the Partner's own and is made available on its partner page in electronic form (PDF Factur-X). The Partner keeps its invoicing details accurate and up to date, remains solely responsible for declaring and paying the VAT invoiced in its name, has 15 days to dispute an invoice (otherwise it is deemed accepted) and shall not issue an invoice of its own for the same commissions.

6. Partner's obligations

The Partner presents Durandor fairly and accurately, without promising results or committing Durandor, in compliance with applicable law (in particular on prospecting and personal data: it alone is responsible for the prospects' data it processes and the messages it sends). It must not attempt to obtain an undue commission (fake companies, linking existing clients, sham contracts).

7. Fraud and cancellation

In case of breach or fraud, Durandor may cancel a client's link and the corresponding unpaid commissions, and suspend or terminate the partnership. Commissions paid in error must be repaid.

8. Term and termination

The agreement is concluded for an indefinite period. Either party may terminate it at any time in writing. Commissions earned on contracts signed before termination remain due under § 5.

9. Liability

Durandor is not responsible for the Partner's commercial activity or for a client's decision to sign up or contract. The Partner is not responsible for the performance of Project Contracts. Each party's liability is limited to direct damage, and Durandor's to the commissions paid to the Partner over the last 12 months, except for gross negligence or wilful misconduct.

10. Governing law

The agreement is governed by French law. Failing amicable settlement, any dispute falls within the jurisdiction of the commercial court of the registered office of Durandor's operator. The French version prevails.
